The Chopped Leaf Rewards Terms and Conditions

Program Terms: Effective Date December 4, 2023

Please read these terms and conditions (“Terms”) of The Chopped Leaf Rewards Program (the “Program”) carefully. By accessing or participating in the Program, you agree to all of the Terms set forth below. If you do not agree to any of the Terms, you are not permitted to participate in the Program.

These Terms apply to your access to, and participation in, the Program, which is operated by Chopped Leaf Restaurants Limited (the “Sponsor”, “we” or “us”), in conjunction with its affiliates and franchisees (collectively, “The Chopped Leaf Group”). These Terms do not alter in any way the terms or conditions of any other agreement you may have with the Sponsor or others in The Chopped Leaf Group, except with respect to the Program.

You are eligible to create a Chopped Leaf Rewards Program account (“Rewards Account”) and to participate in the Program if you are: (a) a resident of Canada (excluding the Province of Quebec) or the State of Washington, one of the United States of America; (b) of the age of majority in your state, province or territory of residence; and (c) an individual (corporations, partnerships and other forms of businesses or commercial enterprises are not eligible to participate in the Program).

Subject to applicable law, the Sponsor reserves the right at any time to change, modify, amend and/or terminate the Program and/or all or any portion of these Terms or any policy, FAQ, or guideline pertaining to the Program in its sole discretion. In the event these Terms are changed, modified or amended, we will post the updated/amended terms and conditions on our The Chopped Leaf website at: https://choppedleaf.ca/loyalty-rewards-program-terms-and-conditions/, and, to the fullest extent permitted by applicable law, you waive any right you may have to receive specific notice of such change, modification or amendment. Only where required by applicable law or at the Sponsor’s sole discretion, will the Sponsor provide notice of amendment to these Terms, by email or otherwise. Your continued participation in the Program following any change, modification or amendment confirms your acceptance of these Terms and any such change, modification or amendment; therefore, you should review these Terms and applicable policies and FAQs frequently to understand the terms and conditions that apply to the Program. If you do not agree to these Terms (as may be changed, modified or amended) at any time, you must stop participating in the Program. If you wish to cancel your participation in the Program, you may do so at any time by sending us notice to that effect at the following email address: info@choppedleaf.ca. Your Rewards Account and participation in the Program will be terminated within thirty (30) days of receipt of your email and, subject only to any notice that may be required by law, all unused Points and discount vouchers credited to your Rewards Account, as provided in these Terms, will expire and become void upon the date of termination.

Subject to applicable law, the Sponsor reserves the right to terminate or cancel the Program at any time without notice.

There are two ways to create a Rewards Account and register to participate in the Program:

1. Visit our The Chopped Leaf website at: https://choppedleaf.ca, click on “Rewards” and follow the prompts to create, and register for, your Rewards Account and to download your electronic Chopped Leaf Rewards membership card (“Rewards Card”); or
2. Scan a QR code through https://choppedleaf.ca, or at one of our participating The Chopped Leaf restaurant locations and follow the prompts to create, and register for, your Rewards Account and to download your Rewards Card.

There are no membership fees associated with the Program. To create and register your Rewards Account to join the Program, you will need to provide your first name, email address, and date of birth. You will also be required to create and confirm your Rewards Account password. You may create only one (1) Rewards Account and may use only one email address in connection with that one Rewards Account.

Subject to these Terms, you can update your personal information through The Chopped Leaf website at: https://choppedleaf.ca.

The Program is provided as a way for the Sponsor to reward our loyal customers. Subject to these Terms, for every one (1) pre-tax dollar spent in-store (by cash, credit card or other payment method accepted by the Sponsor, other than gift cards) at any participating The Chopped Leaf location when you present and scan your Rewards Card, your Rewards Account will be credited with one (1) The Chopped Leaf Reward point (each a “Point” and, collectively, “Points”). Each time you collect a total of two hundred and fifty (250) Points, your Points will be converted into a $5 The Chopped Leaf discount voucher (your Rewards Account will be credited with an electronic $5 discount voucher) and the Points total in your Rewards Account will be adjusted accordingly. Increments of Points totalling less than two hundred and fifty (250) Points do not generate any discount voucher, but will remain in your Rewards Account (subject to these Terms) until such time, if any, as you have earned sufficient additional Points to reach a total of two hundred and fifty (250) Points, entitling you to be credited with a $5 discount voucher. Any discount vouchers not redeemed for Chopped Leaf merchandise at a participating The Chopped Leaf restaurant within one hundred and eighty (180) days from the date the Points were converted into the discount voucher will expire and be void. Discount vouchers can be redeemed against the purchase of any merchandise item (with a value of less than fifty (CAD $50) Canadian dollars), other than our catering menu items, at any participating The Chopped Leaf restaurant, when you present and scan your Rewards Card. Points cannot be earned, and discount vouchers cannot be redeemed, unless you present and scan your Rewards Card in-store, at time of purchase (online purchases do not qualify for Points). Purchases or uses of The Chopped Leaf gift cards (whether in-store or online) do not earn Points and Points may not be redeemed for The Chopped Leaf gift cards. Points have no cash value, and may not be exchanged for cash or converted to a gift card balance. In addition, your redemption of discount vouchers earned under with the Program cannot be combined with any other offers or discounts, unless otherwise expressly indicated by the Sponsor. You may only redeem one (1) discount voucher per transaction.

The Sponsor may from time to time in its sole discretion make available to participants in the Program the opportunity to earn additional Points through special offers, bonuses or other promotions (“special offers”). The terms and conditions applicable to any such special offers will be determined by the Sponsor in its sole discretion and communicated to participants in conjunction with any such offers. Because any terms and conditions associated with any special offers may be different from or in addition to provisions of these Terms, you should read any such special offer terms and conditions carefully before participating in any such special offer.

If you void or cancel any qualifying purchase after payment and for which you were already credited Points, the Sponsor reserves the right to deduct from your Rewards Account the Points (and reverse any resulting discount voucher, if applicable) associated with that purchase.

Any purchases made by you prior to joining the Program are not eligible for the Program and will not be added to your Rewards Account.

Your Rewards Account, Rewards Card, Points and discount vouchers are personal to you and may not be sold, transferred, or assigned to, or shared with, family, friends or others, or used by you for any commercial purpose.

Your personal information which is collected in connection with the Program is governed by the Chopped Leaf Privacy Policy https://choppedleaf.ca/privacy-policy. Please read the Privacy Policy carefully to understand how the Sponsor collects, uses and discloses information and how to update or change your personal information. We may share your personal information with third party service providers who are engaged by or working with us in connection with the operation of the Program or our website who need access to such information to carry out their work for us. By participating in the Program, you consent to receive communications from us electronically, including by email at the email address you provided when creating your Rewards Account, with respect to the Program or your Rewards Account. We may, at our discretion, communicate with you by e-mail or by posting notices on The Chopped Leaf website at: https://choppedleaf.ca. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Terms.

You are solely responsible for maintaining the confidentiality of the information you hold or use to create, and to log-in to, your Rewards Account or use your Rewards Card, including your password. You agree to notify the Sponsor immediately of any unauthorized use of your log-in, or any other breach of security with respect to your Rewards Account. You may be held liable for losses incurred by the Sponsor or any other person caused by someone else using your log-in or other information as a result of your failing to keep your log-in or other information secure and confidential.

Subject to applicable law, without notice the Sponsor reserves the right to remove Points on any Rewards Account that has been inactive for twelve (12) months. For these purposes, “inactive” means no Points-generating purchase has been made on the Rewards Account, and no redemption of discount vouchers have been made, within any period of twelve (12) consecutive calendar months.

The Sponsor reserves the right to terminate your Rewards Account and your participation in the Program if it determines, in its sole discretion, that: (i) you are not eligible to participate in the Program; (ii) you have violated any of these Terms (including without limitation by creating, or attempting to create, more than one (1) Rewards Account); or (iii) the use of your Rewards Account is unauthorized, deceptive, fraudulent, or otherwise unlawful.

By participating in the Program, You agree, to the fullest extent permitted by law, that none of the Sponsor or any other member of The Chopped Leaf Group has any responsibility or liability for any expense, loss, cost, injury, damage, or any other matter or thing whatsoever, however suffered or caused directly or indirectly arising out of or related to the Program or these Terms, including without limitation: (i) any failure, delay or decision by the Sponsor in administering the Program or these Terms, including amendments thereto; (ii) unauthorized access or use by any third party of your Rewards Account; or (iii) the loss, theft, or delayed notification of any Points or discount vouchers issued under the Program or these Terms.

You agree that, in respect of any claim or proceeding arising out of or relating to your participation in the Program or these Terms, to the fullest extent permitted by law, recovery of damages shall be limited to actual and direct damages only, and will not include any indirect, special, consequential, enhanced, or punitive damages. You hereby waive the right to seek or recover any indirect, special, consequential, enhanced, or punitive damages in connection with any such claim or proceeding. Any liability the Sponsor or any other member of The Chopped Leaf Group may have to you for any negligence, breach of contract or otherwise, is limited to crediting your Rewards Account with the Points or discount vouchers as may be determined by a court of competent jurisdiction to be earned by you. These limitations and waivers are intended to be construed broadly and shall apply to any and all claims arising out of or relating to your participation in the Program, your Rewards Account and these Terms, and against any entity or person affiliated with the Sponsor’s brand, including but not limited to the Sponsor and any member of The Chopped Leaf Group and any of their respective directors, officers, employees, or other representatives. The foregoing limitations and waivers shall also survive the termination of these Terms.

If any provision or part of a provision of these Terms is found to be unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions of these Terms.

To the extent permitted by law, these Terms shall be governed by and construed in accordance with the substantive laws of the Province of Ontario and the laws of Canada applicable therein without reference to any rules regarding conflicts of law.
